By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Vnue provides a business event engagement platform designed to enable users to plan, coordinate, book, and execute business events, manage communications, and support post-event engagement. Certain features may include AI-assisted workflows, payment coordination, venue discovery, and event-related data tracking.
Vnue reserves the right to modify, suspend, or discontinue any part of the Services at any time without prior notice or liability.
3. Eligibility and Use of Services
You must be at least 18 years old and capable of forming a binding legal agreement to use the Services. The Services are intended for business use, and you agree to use them only for lawful purposes and in compliance with all applicable laws and regulations.
4. Account Registration and Security
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Vnue is not liable for any loss or damage arising from unauthorized use of your account.
5. User Responsibilities and Data Compliance
You are solely responsible for all data you upload, submit, or otherwise provide through the Services. If you provide contact information for event invitees or participants, you represent and warrant that you have the legal right and appropriate permissions to collect, use, and share such data.
You agree to comply with all applicable laws governing communications and data use, including but not limited to CAN-SPAM, TCPA, and similar regulations. You further agree not to upload purchased, scraped, or unauthorized contact lists.
You acknowledge that Vnue acts as a service provider and does not verify the legality of user-provided data. You agree to indemnify and hold Vnue harmless from any claims arising from your use of such data.
6. Communications and Messaging Compliance
You are solely responsible for all communications sent through the Services, including email invitations and SMS messages. You agree to obtain all necessary consent before sending communications and to honor all opt-out and unsubscribe requests.
Vnue provides tools to support communication workflows but does not assume responsibility for ensuring compliance with applicable laws on your behalf.
7. Payments and Financial Transactions
Certain features of the Services may involve payments processed through third-party providers. By using such features, you agree that payment processing is governed by the terms and conditions of those third-party providers.
Vnue does not store full payment card information and does not act as a financial institution, escrow agent, or payment intermediary unless explicitly stated. You are solely responsible for authorizing and verifying all payment transactions.
Vnue is not responsible for disputes between users and third parties, including venues, service providers, or other participants.
8. AI-Assisted Features
The Services may include AI-assisted functionality designed to support event planning, recommendations, and workflow optimization. These features are intended to assist users and do not replace human decision-making.
Vnue does not permit AI systems to execute financial transactions, confirm bookings, or take other critical actions without direct user authorization. You acknowledge that AI-generated outputs may not always be accurate or complete and should be reviewed before use.
9. Acceptable Use
You agree not to use the Services in a manner that is unlawful, fraudulent, or harmful. This includes, but is not limited to, sending unsolicited communications without consent, attempting to gain unauthorized access to systems or data, interfering with the operation of the platform, or using the Services to harm Vnue or other users.
Vnue reserves the right to suspend or terminate access to the Services for violations of these Terms.
10. Intellectual Property
All content, software, design elements, and intellectual property associated with the Services are owned by Vnue or its licensors and are protected by applicable laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purpose.
11. Data and Platform Rights
Vnue may collect and use data generated through the Services to operate, maintain, and improve the platform. This includes aggregated and anonymized data. Personal data is handled in accordance with the Vnue Privacy Policy.
